All Market Center Participants must be registered with Nasdaq, which is conditioned on compliance with the following requirements:

• Execution of applicable agreements with Nasdaq
• Membership in or access to a clearing agency registered with the SEC, through which trades may be settled
• Compliance with Nasdaq rules
• Maintenance of the physical security of the participant’s equipment to prevent the improper use of Nasdaq s
